The party being offered the agreement (contract) must accept the EXACT terms of the offer. If he introduces new terms (eg an item is being offered for £50 but the buyer offers £40 instead) then this is a counter offer
A cross offer is a counter claim in a civil court. Eg A claimant states that the defendent owes him £5000 but the defendent puts in a claim against the claimant instead
